Last Updated: October 14, 2026
Welcome to AdScorpion.com.
These Terms of Service (“Terms”) govern your access to and use of AdScorpion, including its advertising optimization software, websites, applications, dashboards, integrations, billing functionality, and related services (collectively, the “Platform”).
AdScorpion is operated by its parent business entity. In these Terms, “AdScorpion,” “we,” “us,” and “our” refer to AdScorpion. Where applicable, the term “AdScorpion” also refers to affiliated entities and authorized service providers solely in connection with their respective operational roles and contractual protections under these Terms.
By affirmatively accepting these Terms, creating an account, purchasing a subscription, or connecting an advertising account after being presented with these Terms, you agree to be bound by them.
If you act on behalf of a business or organization, you represent that you have authority to bind that entity.
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT DISCLAIMERS, ASSUMPTIONS OF RISK, LIMITATIONS OF LIABILITY, RELEASES OF CLAIMS, AND DISPUTE RESOLUTION PROVISIONS.

By using the Platform, you represent and warrant that:
-
You are at least 18 years old.

You have legal authority to enter into these Terms.
-
You are authorized to connect and manage any advertising accounts associated with your use of the Platform.

AdScorpion may approve, reject, suspend, or terminate accounts for legitimate operational, security, compliance, payment, or business-risk reasons, subject to applicable law.
You are responsible for maintaining the security of your account credentials and managing access by your authorized users.
3. Nature of the Platform and Automated Optimization
AdScorpion provides software designed to analyze advertising performance and identify expenditure that its automated systems determine may be inefficient or potentially wasteful.
Depending on the functionality enabled, the Platform may automatically:
-
Pause or disable advertising campaigns.
-
Pause or disable ad sets.
-
Pause or disable individual advertisements.
-
Reduce campaign or ad set budgets.
-
Analyze advertising performance and generate related reports or recommendations.
AdScorpion does not guarantee that an automated action will improve advertising performance or generate financial savings.
3.1 Automated Decisions
You acknowledge and agree that the Platform uses automated systems that may take actions without separate human review or approval before each action. Automated decisions may differ from decisions made by you, your employees, or professional advertising managers. Such decisions may result in reduced advertising delivery, impressions, conversions, leads, sales, revenue, profitability, or other business outcomes. The Platform may incorrectly identify advertising expenditure as wasteful, fail to identify inefficient expenditure, or take actions that subsequently appear unnecessary or commercially unfavorable. By activating automated optimization, you expressly authorize AdScorpion to perform the actions permitted by your account configuration.
3.2 Customer Responsibility
You remain responsible for monitoring your advertising accounts, campaigns, budgets, advertising performance, and business outcomes. AdScorpion is an automated software provider and does not act as your fiduciary, financial adviser, or individually supervised advertising manager. You are responsible for determining whether the Platform is appropriate for your advertising strategy and risk tolerance.
3.3 Learning Period
Eligible customer accounts ordinarily undergo an initial observation period before automated optimization begins. After the learning period, automated actions may begin without additional approval.
3.4 Customer Control
Customers may pause or disable automated optimization through available Platform controls. Advertising actions previously performed by AdScorpion may be reversed through the applicable advertising platform, subject to that platform’s functionality. Pausing or canceling AdScorpion does not automatically reverse previously completed advertising actions.
4. Advertising Platform Integrations
AdScorpion accesses connected advertising accounts through authorized integrations, including Meta’s APIs. By connecting an advertising account, you authorize AdScorpion and its authorized technology providers to access relevant information and perform permitted actions on your behalf.
AdScorpion does not require or receive your Meta account password through standard authorization processes. You may revoke applicable permissions through Meta’s account settings.
Advertising platforms operate independently of AdScorpion. AdScorpion does not control third-party advertising delivery, platform policies, advertising account restrictions, billing systems, API availability, or changes to third-party functionality. AdScorpion is not responsible for failures or interruptions caused by third-party platforms beyond its reasonable control.
AdScorpion is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
5. Customer Fees and Billing
AdScorpion charges fees based on performance metrics (e.g., percentage of Ad Spend Protected) or recurring subscription fees as specified at checkout or within your account agreement.
5.1 Calculation Methodology (Ad Spend Protected)
Ad Spend Protected is a contractual billing metric representing the estimated advertising budget made unavailable to spend for the remaining portion of the applicable daily budget cycle as a result of an AdScorpion action.
-
Hourly Budget = Daily Budget Immediately Before Action ÷ 24
-
Ad Spend Protected = Hourly Budget × Hours Remaining in Applicable Daily Budget Cycle
-
For budget reductions, calculations use the amount by which the daily budget was reduced.
5.2 Estimated Savings
Ad Spend Protected is a forward-looking estimate used for billing. It does not mean that money already spent has been recovered or refunded, nor does it guarantee improved profitability or ROAS.
5.3 Billing & Disputes
Fees are charged in U.S. dollars via our payment processor. Customers should report suspected billing errors within 30 days of the charge. Verified calculation errors or duplicate charges will be corrected.
6. Intellectual Property & License
AdScorpion grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during an active subscription or billing term.
AdScorpion retains all rights, title, and interest in the Platform, including software, algorithms, source code, models, branding, and optimization systems. You may not reverse engineer, copy, extract proprietary algorithms, or resell the Platform.
7. No Guarantees & Warranty Disclaimers
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ADSCORPION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ADSCORPION DOES NOT GUARANTEE ADVERTISING SAVINGS, INCREASED PROFITABILITY, OR ERROR-FREE AUTOMATED DECISIONS.
8. Assumption of Risk & Release of Claims
CUSTOMERS VOLUNTARILY ASSUME ALL COMMERCIAL RISKS ASSOCIATED WITH AUTOMATED ADVERTISING OPTIMIZATION. TO THE FULLEST EXTENT PERMITTED BY LAW, CUSTOMERS RELEASE AND WAIVE CLAIMS AGAINST THE PROTECTED PARTIES ARISING SOLELY FROM THE ORDINARY OPERATION OF DISCLOSED AUTOMATED OPTIMIZATION FUNCTIONALITY.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSCORPION AND THE PROTECTED PARTIES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR DATA LOSS. AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO ADSCORPION DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
10. Indemnification
You agree to defend, indemnify, and hold harmless AdScorpion and the Protected Parties from any third-party claims, liabilities, damages, or costs arising from your misuse of the Platform, breach of these Terms, or violation of third-party advertising platform rules.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles. Any legal proceedings shall be brought exclusively in the state or federal courts located in Washington state.
